Terms of Service
1. Agreement
These Terms are a binding agreement between you (or the company you represent, "you") and HSLA0001 INC., a New York State corporation ("HSLA0001", "we", "us"), covering Episode, including episode.studio, the intake form, delivery pages, and the ad creative we produce for you (together, the "Service"). By subscribing, submitting an intake, or using the Service, you agree to these Terms and to our Privacy Policy.
2. The Service
Episode is a done-for-you subscription that produces short motion ads for paid social. Each week we deliver a batch of ads based on your intake, your brand materials, and your feedback. We use software, including AI models from Anthropic and automated rendering tools, together with human review. Delivery volume, formats, and turnaround depend on your plan as described on episode.studio at the time you subscribe.
3. Your materials and approvals
You give us brand assets, product screenshots, claims, offers, and other materials ("Your Materials"), and we may also reference your public website. You confirm you have the rights to everything you provide and that the claims you give us are accurate and substantiated.
We write ad copy only from the claims and offers you provide or that appear on your website, and we do not intentionally invent customers, statistics, testimonials, or results. You are responsible for reviewing every ad before you run it and for making sure it complies with the laws and advertising policies that apply to you (for example, Meta, TikTok, LinkedIn, and Google ad policies, and rules for regulated categories such as health, finance, or supplements). Running an ad means you have approved it.
4. Ownership
You keep all rights to Your Materials. Once the fees for the relevant billing period are paid, you own the final ad files we deliver to you and may use, edit, and run them anywhere, including after you cancel. Delivered ads may include licensed elements (such as fonts or music) under their own licenses; we will tell you if any such element carries a restriction.
We keep all rights to our templates, tools, workflows, prompts, and know-how, and to anything we create that we do not deliver to you. We will not show your ads publicly, for example in our portfolio or sales materials, without your written permission.
You grant us a limited license to use Your Materials only to provide and improve the Service for you. We may use aggregate, de-identified learnings (for example, which ad structures perform well) to improve the Service, but never in a way that identifies you or exposes Your Materials to other customers.
5. Revisions and feedback
You can request changes by replying to a delivery email. Requests go into a queue and are reflected in upcoming batches, processed one at a time. Revisions change ads within the scope of your plan; requests that amount to new work are handled as new concepts in a future batch.
6. Subscriptions and billing
Plans are billed monthly in advance, unless you agree to a different term in writing. Payments are processed by Stripe. Current plans: Starter $2,500/month, Growth $5,000/month, and Scale from $9,000/month, plus applicable taxes. Subscriptions renew automatically each month until canceled.
You can cancel anytime. Cancellation takes effect at the end of your current billing period, and you keep receiving that period's batches. Fees are non-refundable once the first batch of a billing period has been delivered. If we fail to deliver any batch in a paid period for reasons within our control, contact us and we will refund that period.
We will give you at least 30 days' notice of any price change, and your current price holds until your next renewal after that notice.
7. Changes to the Service
We may add, change, or remove features. We aim to deliver weekly, but we offer no service level agreement or uptime guarantee outside a written agreement signed by us.
8. Third-party services
The Service relies on third parties, including Cloudflare (hosting, storage, email), Anthropic (AI models), and Stripe (payments). Their terms and policies apply to their services.
9. Acceptable use
You agree not to: provide materials you don't have rights to; ask us to make ads that are false, misleading, infringing, or unlawful; attempt to access other customers' data or reverse engineer or disrupt the Service; share delivery links or accounts with people outside your organization and its agencies; or use the Service for anything illegal. We may decline to produce any ad we believe violates these Terms or the law.
10. No warranty
THE SERVICE AND ALL DELIVERABLES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE ANY ADVERTISING RESULTS, SUCH AS CLICKS, CONVERSIONS, COST PER ACQUISITION, OR RETURN ON AD SPEND. AI-ASSISTED OUTPUT MAY CONTAIN ERRORS, AND YOU ARE RESPONSIBLE FOR REVIEWING ADS BEFORE RUNNING THEM.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, AD SPEND, OR DATA, OR FOR AD REJECTIONS OR ACCOUNT ACTIONS BY ADVERTISING PLATFORMS. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You will defend and indemnify HSLA0001 against claims arising from Your Materials, the claims you ask us to use, the ads you choose to run, or your violation of these Terms.
13. Termination
You may cancel anytime as described above. We may suspend or terminate the Service if you violate these Terms or fail to pay. Sections 3, 4, 10, 11, 12, and 14 survive termination.
14. Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in New York County, New York.
15. Changes to these Terms
We may update these Terms. If a change is material, we will email you at least 30 days before it takes effect. Continuing to use the Service after that means you accept the updated Terms.
